How to Buy Properties from DSU
Družba za svetovanje in upravljanje, d. o. o. (DSU) (hereinafter DSU), is one of the Slovenia's largest providers of various types of real estate. The list of real estate properties is available on our website "DSU Real Estate". The sales/leasing process for each property is provided alongside property listing.
Throughout these instructions, terms like "sales", "sales procedure", "sales contract", "buyer", etc., apply similarly to "leasing", "leasing procedure", "lease contract", "tenant", etc.
MOST COMMON SALES METHOD: COLLECTION OF INTEREST
The collection of interest (non-binding offers) for each property based on published advertisements is the most common method used in the sale of the DSU’s real estate and is used unless stated otherwise. Potential buyers can express interest in purchasing property without being bound by deadlines or specific requirements by filling out and submitting an interest collection form.
Expressions of interest (non-binding offers) can be sent via email to: ponudbe@dsu.si or by mail to: DSU, Dunajska cesta 160, 1001 Ljubljana, marked "Offer to Purchase/Lease". DSU will review each offer as soon as possible.
OTHER REQUIREMENTS
In addition to the interest collection form (submitting offers), providers may be asked to submit additional forms such as:
- Declaration of financial purchase circumstances,
- Statement of any debts (existing or potential) owed by the provider to DSU.
The selected buyer will need to supplement their offer with the remaining necessary ZPPDFT forms before DSU makes a final decision on the sale.
COLLECTING BINDING OFFERS OR (E)AUCTION
Among the methods for selling real estate are public methods like collecting binding offers or (electronic) auctions (both require a deposit).
In these cases, DSU publishes terms for the real estate auction or (electronic) auction (submission date, amount of deposit, price, etc.) on the DSU real estate website, along with other information and documents.
TRANSPARENT AND PROFESSIONALLY CONDUCTED SALES PROCEDURES
DSU ensures transparency in all its sales procedures. It treats all potential property buyers equally and in accordance with the rules. Each buyer interested in a specific property is guided through the sales process from property viewing to final transaction.
The contact person for each property is listed in the respective advertisement. External agencies with which DSU has a sales mediation contract may also manage the sales process.
GUARANTEES AND CHANGES TO THE SALES PROCESS
When selling real estate, the DSU does not issue a warranty for defects, and sells the real estate ‘as seen’, unless stated otherwise in the advertisement.
Regarding the advertised indicative price in each advertisement, DSU informs potential bidders that the price is purely indicative and may change according to market trends and demand. DSU conducts property valuations at least annually and adjusts prices accordingly. Therefore, expressing interest (submitting offers) in the sales and non-binding offer collection process does not obligate DSU to accept any offer, whether higher, equal, or lower than the current advertised indicative price, unless DSU expressly, unequivocally, and in writing expresses its intent to accept the offer. In the process of collecting interest (non-binding offers) or collecting binding offers, DSU reserves the right to change the planned course, steps, or other elements of the process at any time and without explanation, until the legal transaction is concluded. DSU may also terminate the sales process or negotiations and is not obligated to accept offers or conclude sales contracts, for which it bears no responsibility, and providers cannot claim any demands against DSU on this basis.
If DSU has charged 9.5% or 22% VAT on the purchase of a property otherwise subject to VAT, in accordance with the "VAT Settlement Agreement under Article 45 of the VAT Act," subsequent property sales may also be conducted under the VAT system in accordance with the "VAT Settlement Agreement under Article 45 of the VAT Act." If the selected bidder or pre-emptive right holder does not declare in writing that they are purchasing the property under the "VAT Settlement Agreement under Article 45 of the VAT Act," they must reimburse DSU (as the seller) for the input VAT correction costs that would arise from the sale outside the VAT system.
If the provider accepts the approved conditions of purchase and then withdraws from the intention to purchase, DSU reserves the right to charge the provider the cost of withdrawing from the intention to purchase.
